The tenure for the CEO is growing shorter and shorter all the time. Even before the pandemic, the failure rate of new CEO hires was increasing and costing companies millions. We saw many CEOs – and other C-suite leaders – delay their transitions throughout the pandemic even though they were slated to retire or move on in order to maintain stability at the company during complete disruption. As we move into the latter half of 2021 and into 2022, the flood gates will start to open and CHROs will be charged with leading an already challenging process with the stakes higher than ever. Boards and CEOs know that they need to get it right, but succession is a daunting proposition for even the most experienced boards and leaders.

The good news is, despite these odds, there are important lessons to be learned about how to avoid a C-Suite transition failure and how to get it right in the first place. Getting it right can mean the difference between your company thriving, and just surviving.

To help share these lessons and advance the succession conversation, we are convening a set of HR leaders and experts to share experiences, insights, and ideas on how to help lead the Board and the CEO through the succession process.

About Our Panelists

Karen S. Carter, CHRO and Chief Inclusion Officer, Dow

Karen S. Carter serves as the Chief Human Resources Officer and the Chief Inclusion Officer for Dow. As the Chief Human Resources Officer, Carter is responsible for developing and implementing human resources policies and practices to support the company’s global workforce, which includes talent, recruiting, compensation, benefits, and employee experience. As Dow’s first Chief Inclusion Officer, she guides and directs the Company’s efforts to create a more inclusive environment and diverse workforce while integrating inclusion as a key driver for business success.

Carter has more than 25 years of experience with Dow. Before assuming her current responsibilities, Carter held the role of North America commercial vice president, Dow Packaging and Specialty Plastics (P&SP). While serving in that role, Carter was a member of the global business leadership team and was responsible for the overall profit & loss of P&SP’s North America region.

Carter has held a variety of global business positions throughout her career, including global business director and global marketing director for Dow P&SP, and has also held roles within Building and Construction, Polyethylene, Engineering Thermoplastics, Fabricated Products and Information Technology Equipment and Consumer Electronics.

Carter is on the board of directors for Southwire, a leading manufacturer of wire and cable used in the transmission and distribution of electricity, delivering power to millions of people around the world. She is also on the board of directors for the Great Lakes Bay Region Boys and Girls Clubs of America. Carter was recently appointed as Chair of the Business Leaders Committee on the State of Michigan's Black Leadership Advisory Council. She is also a member of the Executive Leadership Council and is on the Catalyst Board of Advisors.

Carter has a bachelor’s degree in marketing from Howard University and a master’s degree in international business from DePaul University. Carter has been published in the Journal of the American Health Information Management Association and featured in Chemical Week, the Huffington Post, MORE Magazine, the Disrupt Yourself Podcast and The Future of Work Podcast. In 2014, Carter was named to the prestigious Forty Women to Watch Over 40 list for her innovative leadership contributions. In 2018, she received Northwood University’s Distinguished Women Award and was named to Black Enterprise’s Top Executives in Diversity list. In 2019, Carter was named to Black Enterprise's Most Powerful Women in Corporate America list, and most recently was recognized as one of the 100 Ethnic Minority Executives on the EMpower Ethnic Minority Role Model Lists supported by Yahoo Finance.

Lynn Dugle, Board Director, Avantus Federal, Micron, TE Connectivity and KBR, and former Board Director, State Street Corporation

Lynn Dugle currently is a sitting Board Director for 4 corporate boards: Avantus Federal, Micron, TE Connectivity and KBR, and is a former Board Director, State Street Corporation. She was chief executive officer, president and chair of the board of directors at Engility, a provider of highly technical, integrated solutions and services to the U.S. government, from 2016 to 2019. She led the sale of the company to Science Applications International Corp. in 2019.

Prior to Engility, Ms. Dugle spent more than a decade in senior management positions at Raytheon and retired from the company in March 2015 as a Raytheon Company vice president and as president of Raytheon Intelligence, Information and Services, which housed Raytheon’s Cyber and Special Operations division. Before joining Raytheon, she was with ADC Telecommunications in several international and officer-level positions.

Ms. Dugle holds a master’s degree in business administration from the University of Texas at Dallas and bachelor’s degrees in technical management and Spanish from Purdue University.
